1. Acceptance of Terms

By creating an account, accessing any part of the Service, or otherwise indicating your acceptance, you agree to be bound by these Terms and by our Privacy Policy. If you do not agree to these Terms, you must not access or use the Service. If you are using the Service on behalf of an organization, you represent that you have the authority to bind that organization to these Terms.

VestAccrue provides research tools, market data presentations, workflow and portfolio-tracking interfaces, and related informational features intended to support independent decision-making. The Service is provided on an "as is" and "as available" basis. Features, availability, and functionality may change, be added, or be withdrawn at any time without prior notice.

3. No Financial, Investment, or Professional Advice

Nothing presented through the Service constitutes financial, investment, tax, legal, or other professional advice, nor is it a recommendation or solicitation to buy, sell, or hold any asset, instrument, or product. All market data, commentary, indicators, and outputs are provided for informational and educational purposes only. You are solely responsible for any decisions you make based on information obtained through the Service, and you should consult appropriately qualified, independent professionals before making any financial decision.

4. Eligibility and Account Responsibilities

6. Subscription, Fees, and Billing

Certain features of the Service may require payment of fees as described at the point of purchase. Fees are stated exclusive of applicable taxes unless otherwise noted. Unless stated otherwise, subscriptions renew automatically for successive periods equal to the original subscription term unless cancelled in accordance with the cancellation process made available to you. We reserve the right to change pricing prospectively, with reasonable notice provided before the change takes effect.

7. Intellectual Property

The Service, including its software, design, layout, text, graphics, and underlying technology, is owned by or licensed to VestAccrue and is protected by applicable intellectual property laws. Subject to your compliance with these Terms, we grant you a limited, non-exclusive, non-transferable, revocable license to access and use the Service for your own internal, non-commercial purposes. No other rights are granted by implication or otherwise.

8. Third-Party Data and Services

The Service may incorporate data, links, or integrations provided by third parties. We do not control and are not responsible for the accuracy, completeness, or reliability of third-party data or services, and their inclusion does not constitute an endorsement. Your use of any third-party service accessed through or alongside the Service is subject to that third party's own terms.

9. Disclaimers

To the fullest extent permitted by applicable law, VestAccrue disclaims all warranties of any kind, whether express, implied, or statutory, including but not limited to implied warranties of merchantability, fitness for a particular purpose, non-infringement, and accuracy of data. We do not warrant that the Service will be uninterrupted, error-free, or free of harmful components, or that any results obtained from use of the Service will be accurate or reliable.

10. Limitation of Liability

To the fullest extent permitted by applicable law, in no event shall VestAccrue, its affiliates, officers, employees, or agents be liable for any indirect, incidental, special, consequential, or punitive damages, or any loss of profits, revenue, data, or goodwill, arising from or related to your use of or inability to use the Service, even if advised of the possibility of such damages. Our aggregate liability for any claim arising out of or relating to these Terms or the Service shall not exceed the amount, if any, paid by you to VestAccrue in the twelve (12) months preceding the event giving rise to the claim.

11. Indemnification

You agree to indemnify and hold harmless VestAccrue and its affiliates, officers, employees, and agents from and against any claims, liabilities, damages, losses, and expenses, including reasonable legal fees, arising out of or in any way connected with your access to or use of the Service, your violation of these Terms, or your violation of any rights of a third party.

12. Suspension and Termination

We may suspend or terminate your access to the Service, in whole or in part, at any time, with or without notice, including where we reasonably believe you have violated these Terms. You may stop using the Service and close your account at any time. Provisions of these Terms that by their nature should survive termination will survive, including intellectual property, disclaimers, limitation of liability, and indemnification provisions.

13. Changes to the Service and These Terms

We may update these Terms from time to time to reflect changes in the Service, legal requirements, or operational practices. Where changes are material, we will take reasonable steps to notify you, such as posting a notice on the Service or updating the "last revised" date below. Your continued use of the Service after changes take effect constitutes your acceptance of the revised Terms.
